JLL India - Terms of Service
These Terms of Service ("Terms") govern the provision of brokerage services by Jones Lang LaSalle Property Consultants (India) Pvt. Ltd. (CIN: U74140DL1997PTC091209), having its registered office at No. 1110, Ashoka Estate, 24, Barakhambha Road, New Delhi - 110001 ("JLL") to clients ("Client"). By engaging JLL's services or executing any transaction confirmation document, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. SCOPE OF SERVICES
JLL provides property advisory, facilitation, and brokerage services connecting clients with developers, property owners, and other third parties. JLL acts as an independent intermediary and does not guarantee property availability, pricing, developer commitments, or project delivery. All property information is based on third-party sources and must be independently verified by the client. JLL does not provide legal, tax, financial or any other regulated service.
2. CLIENT OBLIGATIONS
Clients must provide accurate information including identity documents, PAN details, and contact information. Clients are responsible for conducting independent due diligence on properties, developers, legal documentation, and title clarity before entering into any transaction. Clients must review all transaction documents independently and ensure compliance with applicable laws. Once JLL introduces a client to a specific property or project, the client agrees not to approach the same property/project through other channels during the engagement period and for 12 months thereafter.
3. FEES, BROKERAGE AND CLIENT BENEFITS
JLL's fees are typically paid by developers/sellers as per separate commercial arrangements. Where JLL offers client benefits, rebates, or incentives, the following conditions apply:
- Client Benefits are subject to JLL receiving applicable brokerage from the developer.
- Payment timelines are as specified in the transaction confirmation document.
- Benefits are non-transferable and personal to the named client.
- Benefits do not apply in case of transaction cancellation, unit reassignment, or change in applicant.
- JLL reserves the right to recover Client Benefits if transaction conditions are not met or if brokerage is not received from the developer.
All Client Benefits will be paid within the timeline specified in the transaction confirmation document, subject to client completing the minimum payment threshold to the developer and execution of Agreement to Sale / Builder Buyer Agreement.
4. AUTHORIZATION AND COMPLETE UNDERSTANDING
Only JLL representatives specifically identified in the transaction confirmation document are authorized to make commitments on behalf of JLL. The transaction confirmation document constitutes the complete and final understanding between the parties and supersedes all prior verbal discussions, emails, messages, or informal communications. No representation, promise, or commitment not documented in the signed transaction confirmation shall be binding on JLL.
5. CONFIDENTIALITY AND DATA PROTECTION
Both parties agree to maintain confidentiality of all non-public information exchanged during the engagement. JLL collects and processes personal information (including name, contact details, PAN, and KYC documents) solely for transaction facilitation, regulatory compliance, and service improvement. Client information may be shared with developers, financial institutions, legal advisors, and government authorities as required for transaction completion or as mandated by law.
6. DISCLAIMERS AND LIMITATIONS OF LIABILITY
JLL provides services on an "as is" basis without warranties regarding accuracy of property information, developer reputation, project delivery timelines, or investment returns. Property information is sourced from developers and public records; clients must conduct independent verification.
JLL's total liability arising from any breach of these Terms shall not exceed the Client Benefit (if any) paid or payable to the client. JLL shall not be liable for indirect, consequential, or punitive damages, loss of profits, developer defaults, project delays, quality issues, changes in government policies, or force majeure events.
JLL is not responsible for any representations, commitments, or defaults by developers, builders, or property owners.
7. ANTI-BRIBERY AND COMPLIANCE
Client agreea to comply with all applicable laws including Prevention of Corruption Act, 1986, Prevention of Money Laundering Act, 2002, FEMA, RERA, and Income Tax Act. Neither party shall engage in bribery, fraud, money laundering, or any illegal practices. JLL reserves the right to immediately terminate services if it suspects any violation of applicable laws.
8. FORCE MAJEURE
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control including natural disasters, pandemics, war, terrorism, government action, strikes, power failures, or changes in laws and regulations.
9. TERMINATION
Either party may terminate the engagement by mutual written agreement, or if the other party breaches these Terms and fails to remedy within 30 days of written notice, or becomes insolvent or bankrupt. Upon termination, JLL's service obligations cease, Client Benefits for pending transactions may be forfeited, confidentiality obligations continue, and JLL retains entitlement to brokerage for transactions introduced prior to termination.
10. GOVERNING LAW AND JURISDICTION
These Terms shall be construed in accordance with the laws of India. In case of any dispute, the courts in Mumbai or Delhi shall have jurisdiction, at the discretion of the aggrieved party.
11. NO PARTNERSHIP OR AGENCY
These Terms do not create any partnership, joint venture, or agency relationship between JLL and the client. Neither party is entitled to act as the other's agent or represent the other unless specifically authorized in writing.
12. INTELLECTUAL PROPERTY
All materials, reports, presentations, and content provided by JLL remain JLL's intellectual property and may be used by clients solely for personal decision-making.
13. AMENDMENTS
JLL reserves the right to amend these Terms from time to time. Updated Terms will be published at [Terms of Use] and clients will be notified via email. Continued engagement with JLL after amendments constitutes acceptance of revised Terms.
